1. Introduction and Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and TriDev Tech EOOD, a company incorporated under the laws of Bulgaria, with registered address at Sofia, “Nikolay Liliev” 12, fl. 1, office 2 (“Company,” “we,” or “us”), governing your use of Whisper (the “App”).

By creating an account, downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1.1 Incorporated Policies

These Terms incorporate by reference, and you agree to comply with, the following additional policies, each of which forms a binding part of your agreement with us:

• Copyright and Intellectual Property Policy

• Age Restriction and Child Safety Policy

• Notice-and-Action Policy and Content Moderation Statement

The following documents are provided for transparency and information. They do not require separate acceptance but form part of our disclosures to you and may create rights or obligations under applicable law: the Cookie Policy, the Advertising Transparency Policy, the Consumer Pre-Contract Information, and the Legal Imprint.

If you purchase a subscription or make in-app purchases, the additional terms referenced in Section 9 also apply.

In the event of a conflict between these Terms and an incorporated policy, these Terms prevail, unless the incorporated policy expressly states otherwise or unless mandatory law requires otherwise. We may update any of these policies in accordance with Section 14, and the current versions are always available in the App and at https://whisper-app.net/en/legal.

2. Eligibility

You must be at least 18 years old to use the App.

By using the App, you represent and warrant that:

• You are at least 18 years old

• You have the legal capacity to enter into these Terms

• Your use of the App will not violate any applicable law or regulation

  3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information

• Maintain the security of your account credentials

• Promptly update your information if it changes

• Accept responsibility for all activities under your account

• Notify us immediately of any unauthorized access

• We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

You may create an account using your email address and a password, or by authenticating through a supported third-party provider (currently Google and Apple). When using a third-party provider, you authorize us to access the basic profile information (name and email) provided by that service.

4. User Content

4.1 Your Content

“User Content” means any content you create, upload, post, share, or otherwise make available through the App, including text, images, videos, audio, and comments.

You retain ownership of your User Content. By posting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform your User Content solely for the purposes of operating, promoting, and improving the App.

4.2 Content Representations

You represent and warrant that:

You own or have the necessary rights to your User Content

Your User Content does not infringe any third party’s intellectual property, privacy, or other

rights.

Your User Content complies with these Terms and our Community Guidelines

4.3 Content Removal

We may remove or disable access to User Content that violates these Terms, our Community Guidelines, or applicable law, in accordance with our Notice-and-Action Policy.

4.4 Sharing of User Content

The App provides sharing features that allow users to share books, profiles, and individual answers to third-party platforms as branded share card images. By posting User Content that is visible to other users (including answers to books), you acknowledge that other users may share your visible content via these in-app sharing features. Anonymous answers will be attributed to “Anonymous” on share cards and will not include any information that could identify the answerer.

Content that is subject to active moderation (hidden, quarantined, or under review) cannot be shared. You may control the visibility of your content by adjusting your profile privacy settings or by deleting your content.

5. Community Guidelines

All users must comply with our Community Guidelines set forth in Appendix A to these Terms. Violations may result in content removal, account suspension, or termination. In the event that a user under 18 is identified on the platform, their account will be suspended in accordance with our Age Restriction and Child Safety Policy.

6. Prohibited Uses

You agree not to:

• Violate any applicable law, regulation, or third-party rights

• Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable

• Engage in harassment, bullying, or intimidation of other users

• Impersonate any person or entity

• Collect or harvest user data without authorization

• Use automated systems, bots, or scrapers without our written permission

• Attempt to circumvent security measures or access restricted areas

• Interfere with the App’s operation or other users’ enjoyment

• Use the App for commercial purposes without authorization

• Distribute malware, spam, or other harmful content

• Engage in any activity that constitutes or facilitates illegal activity

  7. Intellectual Property

7.1 Our Intellectual Property

The App, including its design, features, graphics, software, and content (excluding User Content), is owned by TriDev Tech EOOD and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

7.2 Trademarks

Whisper, TriDev Tech, and associated logos are trademarks of TriDev Tech EOOD. You may not use these marks without our prior written permission.

7.3 Copyright Policy

We respect intellectual property rights and comply with applicable copyright laws. Please see our Copyright and Intellectual Property Policy for information on reporting infringement.

8. Third-Party Services and Content

The App may contain links to or integrations with third-party services. We do not control and are not responsible for third-party services or their content. Your use of third-party services is governed by their respective terms and policies.

9. Subscriptions and In-App Purchases

If you purchase a subscription or make in-app purchases, the terms in our Subscription and In-App Purchase Terms apply.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY CONTENT OR INFORMATION OBTAINED THROUGH THE APP.

Nothing in these Terms excludes or limits warranties that cannot be excluded or limited under applicable law, including under EU consumer protection law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TriDev Tech EOOD, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE APP.

These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or for violations of mandatory consumer rights under EU law.

12. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless TriDev Tech EOOD and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the App, your User Content, or your violation of these Terms.

This indemnification obligation does not apply if you are a consumer within the meaning of EU law and the liability arises from our breach or negligence.

13. Termination

13.1 Termination by You

You may terminate your account at any time through the App settings or by contacting us at support@whisper-app.net.

13.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, our Community Guidelines, or applicable law. We will provide notice of the reasons for termination, except where prohibited by law.

13.3 Effect of Termination

Upon termination, your right to use the App ceases. Provisions that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions.

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be notified through the App or by email at least 30 days before taking effect. Continued use after modifications constitutes acceptance. If you do not agree with modifications, you must stop using the App and terminate your account.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Bulgaria.

For consumers resident in the EU, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of residence.

Disputes arising from these Terms may be brought before the competent courts of Sofia, Bulgaria. Consumers may also bring proceedings in the courts of their country of residence.

16. Dispute Resolution

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, Community Guidelines, and other policies referenced herein, constitute the entire agreement between you and TriDev Tech EOOD regarding your use of the App.
